Last updated and effective from: September 22, 2026
1. INTRODUCTION
1.1 These General Terms and Conditions (“Terms”) govern your access to and use of the website conceptglobal.co (the “Website”) and form a legally binding contract between Robust Goods LLC, a Wyoming limited liability company (“we”, “us”, “our”, the “Seller”) and you as a user or purchaser (“you”, “your”, the “Customer”) regarding all purchases of goods made through the Website.
1.2 These Terms apply exclusively to Customers located in the United States, and references to applicable law mean federal U.S. law and the laws of individual U.S. states, as applicable. The Website is intended solely for users who are at least eighteen (18) years of age (or the legal age of majority in your jurisdiction). By using the Website, you represent and warrant that you meet this age requirement.
1.3 Please read these Terms carefully before accessing or using the Website or placing an order. By browsing, accessing, or using any part of the Website, or by clicking to accept these Terms or placing an order, you acknowledge that you have read, understood and agree to be bound by these Terms in their entirety, together with our Privacy Policy, Refund Policy, and Shipping Policy, each of which is incorporated into these Terms by reference. If you do not agree to all these Terms, you are strictly prohibited from using the Website or placing orders.
1.4 Our Website is hosted on Shopify Inc., which provides us with the online e-commerce platform that allows us to sell our products to you. References in these Terms to the “Website” include all features, software, and services made available through that platform. You acknowledge and agree that Shopify Inc. is a third-party platform provider and is not a party to these Terms or any contract between you and us.
1.6 We reserve the right to update, modify, or replace any part of these Terms at our sole discretion by posting updates or changes to the Website. It is your responsibility to check the Website periodically for changes. Your continued use of or access to the Website following the posting of any changes constitutes acceptance of those changes.

3. USE OF THE WEBSITE
3.1 You may only use the Website to make legitimate inquiries or to place genuine orders for goods. You agree not to place any speculative, false or fraudulent orders. Products sold on the Website are intended solely for end-use consumer consumption; commercial resale, distribution, or unauthorized export of products purchased through the Website is strictly prohibited without our prior written consent. If we have reasonable grounds to believe an order is fraudulent, speculative, or placed for unauthorized resale, we reserve the right to cancel it and to report the matter to the relevant authorities.
3.2 You agree to provide accurate, complete and up-to-date contact and payment information, including your e-mail address, shipping address, and payment details. You acknowledge that we may use these details to contact you regarding your order and to fulfill our legal obligations. If you fail to provide all information necessary to process your order, we may be unable to complete it.
3.3 You may not use the Website or its content: (a) for any unlawful purpose or to solicit others to participate in any unlawful acts; (b) to infringe upon or violate our intellectual property rights or the intellectual property rights of any third party; (c) to harass, abuse, insult, harm, defame, slander, disparage, intimidate or discriminate on any grounds, including gender, sexual orientation, religion, ethnicity, race, age, national origin or disability; (d) to submit false, misleading or fraudulent information; (e) to upload or transmit viruses, malware, or any other malicious code that may affect the operation of the Website or any related service; (f) to collect or track the personal data of other users; (g) to engage in spamming, phishing, scraping, crawling or any similar automated data extraction or deceptive activity; or (h) to interfere with or circumvent any security feature of the Website or any related service.
3.4 We reserve the right to decline or cancel any order placed through automated systems, bots, software, crawlers, scripts, or any unauthorized third-party service acting on a Customer’s behalf.
3.5 A breach or violation of any of the provisions of this Section 3 may result in the immediate suspension or termination of your access to the Website and the cancellation of any pending orders without prior notice.
3.6 We reserve the right to modify, suspend or discontinue the Website, or any feature, product, or service offered through it, at any time and without prior notice. We shall not be liable to you or any third party for any modification, suspension or discontinuation of the Website.
4. PRODUCT AVAILABILITY
4.1 All orders placed through the Website are subject to product availability. In the event of supply difficulties or because a product is no longer in stock after your order has been placed, we will notify you as soon as reasonably possible. In accordance with applicable laws, including the U.S. Federal Trade Commission (FTC) Mail, Internet, or Telephone Order Merchandise Rule, we will offer you the option of: (a) selecting an alternative substitute product of equal or comparable value; or (b) cancelling your order and receiving a full refund of any amounts already paid.
4.2 We make every effort to display colors, images, and descriptions of our products as accurately as possible on the Website. However, because screen settings and display capabilities vary across devices, we cannot guarantee that your device will render product colors with complete accuracy. While we endeavor to keep all product descriptions, pricing, and availability current, inadvertent errors, inaccuracies, or omissions may occasionally occur. We reserve the right to correct any errors or omissions and to update product information or cancel orders if any information on the Website is inaccurate, at any time without prior notice (including after an order has been submitted).
4.3 We reserve the right to withdraw any product from the Website at any time and to limit the quantities of any product we offer for sale, including per order, per Customer or per delivery address. We also reserve the right to refuse or cancel any order that, in our sole discretion, appears to have been placed for the purposes of commercial resale or distribution. We will not be liable to you or any third party as a result of any such withdrawal, limitation or cancellation.
5. FORMATION OF CONTRACT AND ORDER ACCEPTANCE
5.1 The information and products displayed on the Website do not constitute an offer to sell but an invitation to treat. No binding contract is formed until we confirm acceptance of your order in accordance with these Terms.
5.2 To place an order, you must complete the online checkout process and provide payment details. You will then receive an automated e-mail acknowledging receipt of your order (the “Order Confirmation”).
5.3 Acceptance of your order and a binding contract for the sale of goods (the “Contract”) is formed when we process your payment and send you a separate e-mail confirming that the goods have been dispatched (the “Dispatch Confirmation”). We reserve the right to verify payment, authorization, and stock availability before accepting or fulfilling any order.
5.4 Each Dispatch Confirmation will relate only to those products confirmed in that notification. Where an order contains multiple products, separate Dispatch Confirmations may be issued at different times.
5.5 We reserve the right to decline, restrict, or cancel any order at any time prior to shipment for legitimate reasons, including but not limited to product unavailability, errors in pricing or product descriptions, or reasonable suspicion of fraudulent activity. If we cancel an order after your payment method has been charged, we will issue a full refund to the original payment method promptly.
6. PRICING AND SALES TAX
6.1 All prices displayed on the Website are stated in U.S. dollars (USD) and exclude sales, use, value-added, and transaction taxes. Where we are required by applicable state or local law to collect tax, it will be calculated based on your shipping address and added to your total at checkout before you confirm payment.
6.2 We collect sales and use tax only in U.S. jurisdictions where we have a tax collection obligation. You remain solely responsible for any applicable state or local use taxes, customs fees, import duties, tariffs, or governmental clearance charges due in your jurisdiction that are not collected at checkout.
6.3 Delivery costs are not included in the displayed product price. Applicable delivery charges, if any, will be calculated and clearly shown to you during the checkout process before you confirm your order. Full details of delivery charges and any applicable free delivery thresholds are set out in our Shipping Policy, which can be accessed HERE.
6.4 While we take all reasonable care to ensure that prices displayed on the Website are accurate, errors may occasionally occur. If we discover a pricing error in connection with your order, we will notify you promptly and give you the option of: (a) confirming the order at the correct price; or (b) cancelling the order with a full refund of any sums already paid. If we are unable to contact you, your order will be treated as cancelled and any sums received will be refunded in full. We are under no obligation to supply goods at an incorrect lower price if that error was, or reasonably should have been, apparent to you.
6.5 Except in the case of an obvious pricing error, once an Order Confirmation has been issued, the price of your order is fixed and will not be subject to any subsequent change, except where required by applicable law.
7. PAYMENT
7.1 Payment must be made at the time of placing an order. We accept standard payment methods such as credit and debit cards, PayPal, Shop Pay and Klarna, or any other payment methods determined on our Website from time to time. We reserve the right to introduce new payment methods or to restrict available methods for particular orders from time to time.
7.2 All payment transactions are processed securely. Credit card and debit card information is always encrypted during transmission. We do not store your full payment card details on our systems.
7.3 By providing your payment details, you confirm that you are authorized to use the payment method in question and that all details provided are accurate and complete.
7.4 Payment will be charged upon placing your order and confirming payment at checkout. By confirming your order at checkout, you authorize us to charge the payment method selected by you at the time of placing your order for the total amount due, including the price of the goods and any applicable delivery charges and taxes.
7.5 Your payment details will be subject to validation and authorization by your payment provider. If the required authorization is not received, we will not be liable for any delay or non-delivery resulting from that failure.
7.6 Invoices and payment-related communications will be issued in electronic form and sent to the e-mail address provided at the time of purchase, unless otherwise agreed in writing.
8. DELIVERY
8.1 We ship worldwide. A complete and up-to-date list of all countries to which we currently deliver is available on the Website. Deliveries to countries not listed on the Website are not available. Applicable delivery timeframes and charges for each destination are set out in our Shipping Policy, which can be accessed HERE.
8.2 We will endeavor to dispatch your order promptly. Orders placed within the United States are primarily fulfilled and dispatched locally through our third-party logistics facility located in Akron, Ohio, and orders may be dispatched from an international fulfillment center serving as a secondary backup. After placing your order, you will receive an update with your estimated shipping date. We will always aim to ship your items from your nearest available warehouse, subject to stock availability.
8.3 Where we do not state a specific shipping date, we will ship your order within thirty (30) days after we receive it. If we cannot ship within that period, or within any period we have stated, we will notify you and you may either agree to a revised shipping date or cancel your order for a full refund, consistent with the U.S. Federal Trade Commission's Mail, Internet, or Telephone Order Merchandise Rule.
8.4 Possible reasons for delay in delivery include: (a) high demand or temporary stock replenishment requirements; (b) your delivery location or destination country; (c) carrier delays or disruptions outside our reasonable control; or (d) unforeseen circumstances beyond our reasonable control, as further described in Section 19.
8.5 If we are unable to meet the anticipated delivery date, we will notify you without undue delay and offer you the choice of: (a) agreeing a revised delivery timeframe; or (b) cancelling your order and receiving a full refund of any sums paid.
8.6 All orders are fully tracked and securely packaged. A tracking link will be provided to you once your order has been dispatched.
8.7 Delivery is deemed to have occurred when the goods are received at the agreed delivery address.
8.8 You are responsible for ensuring that the delivery address provided at checkout is complete, accurate, and accessible by standard mail carriers. If delivery cannot be completed after reasonable attempts, our carrier may arrange for the parcel to be held at a local collection point or depot, and you will be notified accordingly. If you do not collect your parcel within the period specified in the carrier's notification, the parcel may be returned to us, and we will contact you to arrange re-delivery or, if you prefer, a refund of the product price, less any reasonable costs incurred in connection with the failed delivery and return.
9. RISK AND TITLE
9.1 Risk of loss in the goods and title to the goods pass to you upon delivery in accordance with Section 8 above.
9.2 We retain a security interest in the goods until we have received payment in full for those goods, including any applicable delivery charges and tax.
10. RETURNS AND REFUNDS
10.1 United States federal law does not provide a general right to cancel or return online purchases after they are placed. Your right to return goods is governed by our voluntary return policy set out in our Refund Policy and by any non-waivable rights available to you under the law of your state of residence. Nothing in these Terms or in our Refund Policy limits any such non-waivable right.
10.2 In addition to any statutory right of withdrawal that may apply to you, we offer a voluntary satisfaction guarantee (the “Satisfaction Guarantee”) on the terms set out in our Refund Policy, accessible HERE, which also sets out full details of how to make a return or refund request, what information we may ask you to provide, the processing timelines applicable to each payment method, and our replacement arrangements. Please include your order number in any return or refund request so that we can assist you as efficiently as possible.
10.3 All refunds will be made using the same payment method used for the original transaction. We will not charge any fees for processing refunds.
10.4 We may withhold the refund until we have received the goods back, or until you have provided proof of return shipment, whichever occurs earlier.
10.5 You are liable for any diminished value of the goods resulting from handling beyond what is necessary to ascertain the nature, characteristics and functioning of the goods.
10.6 If you would prefer a replacement rather than a refund, we will arrange for a replacement to be shipped to you at no additional cost, subject to availability.
10.7 If you are a consumer Customer, your rights in respect of defective or non-conforming goods under Section 11 and applicable law are not affected by this Section 10.
10.8 If you consider a product to be defective or not conforming to the Contract at the time of delivery, please contact us promptly by e-mail using the contact information set out in these Terms with a description of the product and the nature of the defect. We will examine the matter and notify you of your rights and available remedies within a reasonable time. Your rights in relation to defective goods are governed by Section 11 below and, in any event, by applicable law.
11. WARRANTIES; DISCLAIMER OF WARRANTIES
11.1 We are committed to selling goods that conform to the Contract and are of satisfactory quality. The goods you receive must: (a) conform to the description, type, quantity, quality and other characteristics agreed in the Contract; (b) be fit for the purpose for which goods of that type would normally be used; and (c) be of the quality and performance that you would reasonably expect, taking into account the nature and price of the goods and any public statements made by us about the goods.
11.2 If goods do not conform to the express limited warranty in Section 11.3, your sole and exclusive remedy, at our option, is repair or replacement of the goods or a refund of the purchase price paid for them. This remedy does not limit any non-waivable right available to you under applicable law.
11.3 All our products come with a 2-year warranty against manufacturing defects. This warranty covers structural defects in materials and workmanship, but does not cover: (a) normal wear and tear, including scratches, stretching, or natural aging and patina of leather; (b) damage resulting from accident, misuse, abuse, water exposure beyond product ratings, or unauthorized modification; or (c) failure caused by improper attachment by the user. Details of how to make a warranty claim are set out in our Refund Policy, accessible HERE. Proof of purchase will be required.
11.4 EXCEPT FOR THE EXPRESS LIMITED WARRANTY SET OUT IN SECTION 11.3, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GOODS ARE PROVIDED “AS IS” AND WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WHERE THE EXPRESS LIMITED WARRANTY APPLIES TO A CONSUMER PRODUCT, ANY IMPLIED WARRANTIES ARE LIMITED IN DURATION TO THE PERIOD OF THAT WRITTEN WARRANTY. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, OR THE EXCLUSION OR LIMITATION OF IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.
12. THIRD-PARTY LINKS AND TOOLS
12.1 The Website may contain links to third-party websites that are not operated or controlled by us. We are not responsible for the content, accuracy or reliability of any third-party website, and we do not endorse or make any representations about any third-party website, its content, products or services.
12.2 We may, from time to time, provide you with access to optional third-party tools or services. Such tools and services are provided “as available” and without any warranties or representations on our part. Your use of any optional third-party tools is entirely at your own risk, and you should ensure that you have reviewed and agree to the relevant third party's terms and conditions before using them.
12.3 We are not liable for any harm or loss arising from or related to your use of, or reliance on, any third-party website, tool or service. Any queries or complaints in relation to third-party products or services should be directed to the relevant third party.
13. LIMITATION OF LIABILITY
13.1 Subject to Clause 13.2 below, our total liability to you in connection with any goods purchased through the Website shall not exceed the purchase price paid by you for the relevant goods.
13.2 Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other matter for which it would be unlawful to exclude or limit liability under applicable law.
13.3 Subject to Clause 13.2, and to the fullest extent permitted by applicable law, we shall not be liable for indirect, incidental or consequential losses arising out of or in connection with your use of the Website or any goods purchased through it, including but not limited to: (a) loss of income or revenue; (b) loss of profits or business opportunities; (c) loss of anticipated savings; (d) loss of data; (e) damage to, or loss of, any third-party device or personal property (including smartwatches, Apple Watch® devices, or Samsung Galaxy Watch® devices) used in connection with our products; or (f) any other indirect or consequential losses, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
13.4 SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
13.5 We do not guarantee that the Website will always be available, uninterrupted, timely, secure or free of errors. We shall not be liable for any temporary interruptions to the availability of the Website resulting from maintenance, technical issues or circumstances beyond our reasonable control.
13.6 We aim to maintain the information on the Website accurate and up to date. However, the Website may contain typographical errors, inaccuracies or omissions, including in relation to product descriptions, pricing, promotions, shipping charges, transit times or product availability. We reserve the right to correct any such errors, inaccuracies or omissions, and to change or update information on the Website at any time without prior notice, but undertake no obligation to do so. We shall not be liable for any loss arising from reliance on inaccurate or incomplete information, except where such liability cannot be excluded under applicable law.
13.7 If you are a consumer Customer, nothing in these Terms shall affect any statutory rights to which you may be entitled as a consumer under the mandatory laws of your state of residence.
14. INTELLECTUAL PROPERTY
14.1 All intellectual property rights in the content of the Website, including but not limited to text, images, logos, trademarks, design elements, graphic works and software, are owned by us, Robust Goods Oy d/b/a Concept Global, or our licensors. These rights are protected under applicable intellectual property laws.
14.2 You are granted a limited, non-exclusive and non-transferable license to access and use the Website and its content for lawful purposes in connection with browsing the Website and placing orders.
14.3 You may not reproduce, redistribute, transmit, publish, display, create derivative works from or commercially exploit any content from the Website without our prior written consent, except where such use is strictly necessary for you to retain a copy of your order details or Contract for your own record-keeping purposes.
14.4 All third-party trademarks and brand names referred to on the Website, including Apple®, Apple Watch®, Samsung®, and Galaxy Watch®, are the property of their respective owners and are referenced solely for the purpose of indicating product compatibility. No affiliation, endorsement or partnership between us and any such third-party trademark owner is implied.
14.5 Digital Millennium Copyright Act (DMCA) Notice. We respect the intellectual property rights of others. If you believe that any content or material on the Website infringes your copyright, please send a written notification to our designated agent at support@conceptglobal.co containing: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and its location on the Website; (d) your contact information (address, telephone number, and email); (e) a statement that you have a good-faith belief that use of the material is unauthorized; and (f) a statement under penalty of perjury that the information in your notification is accurate and that you are authorized to act on behalf of the copyright owner.
15. CUSTOMER SUBMISSIONS AND FEEDBACK
15.1 If you submit any comments, reviews, suggestions, proposals or other materials to us through the Website or by any other means (“Submissions”), you retain ownership of any intellectual property rights in those Submissions.
15.2 By making a Submission, you grant us a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to display, reproduce, store, modify, adapt, publish, translate, create derivative works from, distribute, and use that Submission in whole or in part, including any name or image submitted with it, for the purposes of operating and improving the Website and our products and services. To the extent permitted by law, you waive any moral rights you may have in such Submissions. We will handle any personal data contained in Submissions in accordance with our Privacy Policy, accessible HERE.
15.3 You warrant that any Submission you make: (a) does not infringe any third-party intellectual property, privacy or other rights; (b) is not unlawful, defamatory, abusive, threatening, obscene or otherwise objectionable; and (c) does not contain any viruses, malware or other harmful code.
15.4 We reserve the right to remove or decline to publish any Submission that we reasonably determine to be in breach of these Terms, without prior notice.
15.5 You are solely responsible for the accuracy and content of any Submission you make. We assume no liability for any Submission posted or transmitted by you or any third party.
16. DATA PROTECTION AND PRIVACY
16.1 We are committed to protecting your personal data and to processing it responsibly and in accordance with all applicable data protection legislation.
16.2 Full details of how we collect, use, store, share and protect your personal data, including your rights as a data subject and how to exercise them, are set out in our Privacy Policy, which can be accessed HERE. Our Privacy Policy forms part of these Terms, and by using the Website and placing an order, you confirm that you have read and understood it. If you are a resident of California, Colorado, Connecticut, Texas, Utah, Washington, Virginia, or another U.S. state with applicable consumer privacy legislation, our Privacy Policy describes the rights available to you under those laws and how to exercise them.
16.3 We use cookies and similar tracking technologies on the Website. Details of which cookies we use, their purposes and your options for managing your preferences are set out in our Privacy Policy. Where required by applicable law, we will obtain your consent before placing non-essential cookies on your device. Where consent is not required, you may manage cookies through the controls described in our Privacy Policy or through your browser settings.
17. WRITTEN COMMUNICATIONS AND NOTICES
17.1 By using the Website and placing orders, you agree that communications between us may take place electronically. We will contact you by e-mail or by posting notices on the Website. For contractual purposes, electronic communications satisfy any applicable requirement that such communications be in writing. You consent to receive all communications, agreements, notices, disclosures and other records from us in electronic form, and you agree that this consent satisfies any legal requirement that such records be in writing, as provided under the U.S. federal E-SIGN Act and applicable state law. You may withdraw this consent by contacting us using the details in Section 26, but doing so may prevent you from placing orders through the Website.
17.2 If you provide your telephone number and opt in to receive text messages, you consent to receive autodialed or pre-recorded marketing and transactional messages from us at that number. Consent is not a condition of purchase. Message and data rates may apply. You may opt out at any time by replying STOP.
17.3 All notices from you to us should be sent by e-mail or by post using the contact information set out in Section 27 below.
17.4 Notice will be deemed to have been received and properly served: (a) immediately upon posting on the Website; (b) 24 hours after dispatch of an e-mail to the address provided, provided no delivery failure notification is received; or (c) five (5) business days after the date of posting of a letter, provided the letter was correctly addressed, stamped and posted.
18. TRANSFER OF RIGHTS AND OBLIGATIONS
18.1 The Contract is binding on both you and us, and on our respective successors and permitted assigns.
18.2 You may not transfer, assign, charge or otherwise dispose of the Contract or any of your rights or obligations under it without our prior written consent.
18.3 We may transfer, assign, charge, sub-contract or otherwise dispose of a Contract, or any of our rights and obligations under it, at any time during the term of the Contract. Any such transfer will not affect your rights under these Terms or applicable law, nor will it cancel, reduce or otherwise limit any warranty or guarantee provided by us.
19. FORCE MAJEURE
19.1 We will not be liable for any failure or delay in performing our obligations under a Contract where such failure or delay results from causes outside our reasonable control (a “Force Majeure Event”).
19.2 Force Majeure Events include, without limitation: (a) strikes, lock-outs or other industrial action; (b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat of or preparation for war; (c) fire, explosion, storm, flood, earthquake, epidemic, pandemic or other natural disaster; (d) impossibility of the use of railways, shipping, aircraft, road transport or other means of public or private transport; (e) impossibility of the use of public or private telecommunications networks or infrastructure; (f) acts, decrees, legislation, regulations or restrictions of any government or competent authority; or (g) any other event beyond our reasonable control.
19.3 Our obligations under the Contract will be suspended for the duration of the Force Majeure Event. We will use all reasonable endeavors to bring the Force Majeure Event to a close or to find a solution enabling our obligations to be performed despite it.
19.4 If a Force Majeure Event continues for more than 30 days, either party may give written notice to the other to cancel any affected order and, where payment has already been received, we will issue a full refund without undue delay.
20. AMENDMENTS TO THESE TERMS
20.1 We reserve the right to revise and amend these Terms from time to time to reflect changes in applicable law, our business practices or the products and services we offer.
20.2 You will be subject to the Terms in force at the time you place your order, unless: (a) any change to these Terms is required by applicable law or a competent authority, in which case the change may apply to orders already placed; or (b) we have given you reasonable prior notice of a change and you have not cancelled any pending order within that notice period.
20.3 We will notify Customers of any material changes to these Terms by posting a prominent notice on the Website, or where you have previously provided us with an e-mail address in connection with an order, by e-mail to that address. We recommend that you review these Terms periodically.
20.4 These Terms are version-controlled and dated. The version in force at the date of each order governs that Contract. Prior versions are available upon request.
21. SEVERABILITY
21.1 If any provision of these Terms or of any Contract is found by any competent authority to be invalid, unlawful or unenforceable to any extent, that provision shall be modified to the minimum extent necessary to make it valid, lawful and enforceable while reflecting as closely as possible the original intent of the provision. If such modification is not possible, the affected provision shall be severed from the remaining Terms, which shall continue in full force and effect to the fullest extent permitted by applicable law.
22. WAIVER
22.1 A failure by us at any time to insist upon strict performance of any of your obligations under the Contract, or to exercise any right or remedy to which we are entitled, shall not constitute a waiver of such right or remedy and shall not relieve you from compliance with your obligations.
22.2 No waiver by us of any breach of these Terms shall constitute a waiver of any subsequent breach of the same or any other provision.
22.3 No waiver by us shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with Section 17.
23. ENTIRE AGREEMENT
23.1 These Terms, together with all documents expressly referred to in them (including our Privacy Policy, Refund Policy and Shipping Policy), constitute the entire agreement between you and us in relation to the subject matter of any Contract. They supersede all prior representations, agreements, understandings and arrangements between us, whether written or oral.
23.2 Both you and we acknowledge that, in entering into a Contract, neither party has relied upon any representation, undertaking or promise made by the other, or implied from anything said or written in prior negotiations, except as expressly stated in these Terms.
23.3 Nothing in this Clause limits or excludes any liability for fraud or fraudulent misrepresentation.
24. GOVERNING LAW
24.1 These Terms and any Contract formed between you and us are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
24.2 If you are a consumer Customer, this choice of law does not deprive you of the protection of any non-waivable provisions of the consumer protection law of the state in which you reside.
25. DISPUTE RESOLUTION
25.1 PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND US TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
25.2 If you have a complaint or dispute relating to your order or these Terms, you agree to first contact our customer service team using the contact details set out in these Terms. We will use our best efforts to resolve your complaint promptly, fairly and to your satisfaction. If the dispute is not resolved within sixty (60) days after you notify us in writing, either party may commence arbitration under Section 25.3.
25.3 Any dispute, claim or controversy arising out of or relating to these Terms, any Contract, or your use of the Website that is not resolved under Section 25.2 shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court. The Federal Arbitration Act governs the interpretation and enforcement of this Section 25. The arbitration will be conducted in the county of your residence or by video or telephone, at your election. The arbitrator’s award may be entered as a judgment in any court of competent jurisdiction.
25.4 YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.
25.5 You may opt out of the arbitration agreement and class-action waiver in Sections 25.3 and 25.4 by sending written notice to support@conceptglobal.co within thirty (30) days after you first accept these Terms. If you opt out, neither you nor we will be bound by those provisions.
25.6 To the extent any dispute is not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Laramie County, Wyoming, and each party irrevocably waives any right to a jury trial in any such proceeding.
25.7 Any claim arising out of or relating to these Terms or any Contract must be brought within one (1) year after the claim arose, except where a longer period is required by applicable law.
